Netflix has withdrawn from the bidding for Warner Bros Discovery. The company declined to top the raised offer from Paramount Skydance of 110.9 billion dollars.

Its own agreement had been announced on 5 December 2025 and was worth around 82.7 billion dollars including debt. Netflix would have taken over the film studio and the streaming business, while the classic television channels would have been split off.

After Warner Bros Discovery resumed talks with Paramount in February, Netflix said on 26 February that it would not match the higher offer. The two chief executives Ted Sarandos and Greg Peters said the transaction they had negotiated would have created value for shareholders and had a clear path to regulatory approval.

The reference to approval is the real point. Netflix would have taken only the studio and streaming, while Paramount buys the whole company including the pay channels. That leaves the transaction facing a more demanding review.

For the federation the agreement marks a clear break with its previous partner Electronic Arts, from which it had separated in dispute.

With the withdrawal Netflix has saved around 28 billion dollars in purchase price, measured by the difference between the two offers. The company keeps its balance sheet clear but gives up a programme library spanning several decades and the production facilities in Burbank and outside London.
